Terms of Service
Last Updated: February 25, 2026 Effective Date: February 25, 2026
These Terms of Service ("Terms") are a legally binding agreement between Reservita Inc., a federal Canadian corporation operating as Caletan ("Caletan," "Company," "we," "us," or "our"), and the business, organization, or individual that registers for or accesses the Platform ("Subscriber," "you," or "your").
BY CREATING AN ACCOUNT, CLICKING "I AGREE," OR OTHERWISE ACCESSING OR USING THE PLATFORM, YOU ACCEPT AND AGREE TO BE BOUND BY THESE TERMS. IF YOU ARE ENTERING INTO THESE TERMS ON BEHALF OF A BUSINESS OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND THAT ENTITY. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE PLATFORM.
These Terms incorporate by reference our Privacy Policy, Data Processing Agreement, Cookie Policy, Acceptable Use Policy, DMCA/Copyright Policy, and Mobile App EULA (collectively with these Terms, the "Agreement").
1. Definitions
"Account" means the Subscriber's registered account on the Platform.
"Agreement" means these Terms together with the Privacy Policy, Data Processing Agreement, Cookie Policy, Acceptable Use Policy, DMCA/Copyright Policy, Mobile App EULA, and any other policies or documents incorporated by reference.
"Authorized User" means any individual whom the Subscriber permits to access or use the Platform under the Subscriber's Account, including employees, contractors, and instructors.
"End User" means any parent, guardian, student, or other individual who interacts with the Subscriber's classes, schedules, or enrollment through the Platform.
"Fees" means all subscription fees, service fees, and other charges payable by the Subscriber for use of the Platform as described in Section 9.

3. Account Registration and Security
3.1 Registration
You must create an Account to access the Platform. You agree to provide truthful, accurate, and complete information during registration and to keep your Account information current.
3.2 Credentials
You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You must not share Account credentials with unauthorized third parties. If you suspect unauthorized access to your Account, you must notify us immediately at [email protected].
3.3 Authorized Users
You may permit Authorized Users to access the Platform under your Account. You are responsible for ensuring that each Authorized User complies with these Terms and for all actions taken by your Authorized Users.
4. Platform License
Subject to your compliance with the Agreement and timely payment of Fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Platform solely for your internal business purposes during the Term. This license does not include the right to access the Platform on behalf of, or for the benefit of, any third party other than your End Users in connection with the ordinary use of the Platform.
5. License Restrictions
You agree that you and your Authorized Users will not, directly or indirectly:
(a) copy, distribute, sell, rent, lease, sublicense, or otherwise make the Platform available to any third party, except as expressly permitted by these Terms;

(f) use the Platform in any manner that violates the Acceptable Use Policy or any applicable law or regulation;
(g) use any automated means, including bots, scrapers, or data mining tools, to access or extract data from the Platform, except as expressly authorized by us; or
(h) send unsolicited commercial messages through the Platform without the recipient's legally valid consent, in violation of Canada's Anti-Spam Legislation (S.C. 2010, c. 23) ("CASL"), the Controlling the Assault of Non-Solicited Pornography and Marketing Act of 2003 (15 U.S.C. § 7701 et seq.) ("CAN-SPAM Act"), or any other applicable anti-spam law.
We reserve the right to immediately suspend or terminate your access to the Platform if we have reason to believe you have violated these restrictions.
6. Subscriber Data
6.1 Ownership
As between the parties, you retain all right, title, and interest in and to your Subscriber Data. You grant us a non-exclusive, worldwide, royalty-free license to use, copy, store, modify, and display Subscriber Data solely to the extent necessary to provide, maintain, and improve the Platform and to perform our obligations under this Agreement.
6.2 Accuracy and Compliance
You are solely responsible for the accuracy, quality, legality, and appropriateness of your Subscriber Data. You represent and warrant that you have all necessary rights, consents, and permissions to collect, share, and use Subscriber Data as contemplated by this Agreement, and that your Subscriber Data does not violate or infringe any third party's rights.
6.3 Aggregated and Anonymized Data
We may collect and use aggregated, anonymized, or de-identified data derived from your use of the Platform ("Aggregated Data") for any lawful business purpose, including analytics, benchmarking, product improvement, and industry reporting. Aggregated Data will not identify you or any individual End User as the source.
6.4 No Archiving Obligation
We are not an archive for your Subscriber Data. After the Agreement has expired or been terminated, we have no obligation to retain your Subscriber Data beyond the data export period described in Section 10.4. You are solely responsible for maintaining your own backups of Subscriber Data.
7. Children's Data
The Platform enables Subscribers to manage classes and enrollments that may involve children under 13 years of age. You acknowledge and agree to the following:
(a) As between Caletan and the Subscriber, the Subscriber is responsible for obtaining all necessary verifiable parental consent required under the Children's Online Privacy Protection Act of 1998 (15 U.S.C. §§ 6501–6506) ("COPPA"), Canada's Personal Information Protection and Electronic Documents Act (S.C. 2000, c. 5) ("PIPEDA"), and any other applicable children's privacy laws before collecting or submitting children's personal information to the Platform.
(b) Caletan acts solely as a data processor (or "service provider") with respect to children's personal information. We process children's data only on your behalf and in accordance with your instructions as provided through your use of the Platform.
(c) You will not submit children's personal information to the Platform unless you have first obtained all required consents and authorizations.
(d) You will respond promptly to any parental requests to access, correct, or delete their child's personal information, and you will notify us if we need to take any action to assist with such requests.
8. Payment via Stripe
8.1 Stripe Connected Account
Payment processing services for Subscribers on the Platform are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the "Stripe Services Agreement"). By agreeing to these Terms or using payment processing features on the Platform, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time.
8.2 Information Sharing
As a condition of receiving payment processing services through Stripe, you agree to provide accurate and complete information about yourself and your business, and you authorize us to share this information, along with transaction-related data, with Stripe for purposes of providing payment processing services.
8.3 Fee Passthrough
If Stripe increases its payment processing fees (including as a result of increased fees charged by card networks), we reserve the right to pass along those fee increases to you. We will provide at least 14 days' advance written notice (email is sufficient) before any such fee increase takes effect.
8.4 Liability Disclaimer
Payment processing services are provided by Stripe, not Caletan. We are not responsible for any errors, outages, or disputes arising from Stripe's services. Your use of Stripe's payment processing services is governed solely by the Stripe Services Agreement, and any claims related to payment processing must be directed to Stripe.
9. Fees, Billing, and Cancellation
9.1 Pricing

9.2 Service Fees
In addition to subscription Fees, we may charge service fees on transactions processed through the Platform. Service fee rates are published on our website and may be updated with at least 30 days' advance notice.
9.3 Billing
Fees are billed monthly in advance and are due on the billing date associated with your Account. You authorize us to charge your designated payment method for all Fees and applicable taxes on each billing date.
9.4 Taxes
All Fees are exclusive of applicable taxes, duties, levies, and similar governmental charges, including sales tax, use tax, value-added tax (VAT), goods and services tax (GST), harmonized sales tax (HST), and provincial sales tax (PST). You are responsible for paying all such taxes, except for taxes based on our net income.
9.5 Non-Refundable
All Fees are non-refundable, except as expressly provided in these Terms or as required by applicable law.
9.6 Overdue Amounts
Any amounts not paid when due will accrue interest at the maximum rate permitted by applicable law. You will also be responsible for all reasonable costs of collection, including legal fees.
9.7 Cancellation
You may cancel your subscription at any time through your Account settings. Cancellation takes effect at the end of your current billing period. No refunds or credits will be issued for partial billing periods.
10. Term and Termination
10.1 Term
The Agreement begins on the date you first create an Account or accept these Terms, whichever is earlier, and continues on a month-to-month basis until terminated by either party (the "Term").
10.2 Termination for Convenience
Either party may terminate the Agreement for any reason by providing at least 30 days' written notice to the other party.
For residents of the Province of Quebec: If we wish to terminate your Account and you are not in default of your obligations under this Agreement, we will provide at least 60 days' written notice before the date of termination.
10.3 Termination for Cause
Either party may terminate the Agreement immediately upon written notice if the other party: (a) materially breaches the Agreement and fails to cure such breach within 15 days after receiving written notice; (b) becomes the subject of any bankruptcy, insolvency, receivership, or similar proceeding; or (c) ceases to conduct business in the ordinary course. We may also terminate or suspend your access immediately, without prior notice, if you violate the License Restrictions in Section 5 or the Acceptable Use Policy.
10.4 Effect of Termination
Upon termination or expiration for any reason: (a) all licenses granted to you under this Agreement terminate immediately; (b) you must cease all use of the Platform; and (c) you will have 30 days from the date of termination to export your Subscriber Data. After the 30-day export window, we may delete your Subscriber Data and have no further obligation to retain it, except as required by applicable law.
10.5 Survival
Sections 1, 6, 7, 11, 12, 13, 14, 15, 16, 17, 18, and 22 survive the expiration or termination of this Agreement.
11. Intellectual Property and Ownership
11.1 Caletan Ownership
We own and retain all right, title, and interest in and to the Platform, including all software, technology, designs, trademarks, and other intellectual property associated with the Platform. No rights are granted to you other than as expressly set forth in this Agreement.
11.2 Feedback
If you provide us with any suggestions, ideas, enhancement requests, or other feedback regarding the Platform ("Feedback"), you grant us a non-exclusive, perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, incorporate, modify, and commercially exploit such Feedback without any obligation or compensation to you.
11.3 Marketing Use
With your prior written consent, you may grant us a limited, revocable, non-exclusive right to use your business name and logo on our website and in marketing materials to identify you as a Subscriber. You may revoke this permission at any time by sending written notice to [email protected].
12. Confidentiality
12.1 Definition
"Confidential Information" means all non-public information disclosed by one party (the "Disclosing Party") to the other party (the "Receiving Party"), whether orally, in writing, or by any other means, that is designated as confidential or that, given the nature of the information or the circumstances of disclosure, should reasonably be understood to be confidential. Caletan's technology, pricing, and the terms of the Agreement are Caletan's Confidential Information. Subscriber Data is the Subscriber's Confidential Information.
12.2 Obligations
The Receiving Party will: (a) hold the Disclosing Party's Confidential Information in confidence using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care; (b) not disclose Confidential Information to any third party except to its employees, contractors, and agents who need to know and who are bound by confidentiality obligations at least as protective as these Terms; and (c) use Confidential Information only for purposes of performing under or exercising rights granted by this Agreement.
12.3 Exceptions
Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the Receiving Party; (b) was known to the Receiving Party before disclosure; (c) is received from a third party without breach of any confidentiality obligation; or (d) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information. The Receiving Party may also disclose Confidential Information to the extent required by law, regulation, or court order, provided that the Receiving Party gives the Disclosing Party prompt notice (to the extent legally permitted) and cooperates with any efforts to obtain a protective order.
13. Indemnification
13.1 Caletan Indemnification
We will defend you against any third-party claim alleging that the Platform, as provided by us and used in accordance with this Agreement, infringes a third party's patent, copyright, or trademark, or misappropriates a trade secret ("Infringement Claim"), and we will pay any damages finally awarded by a court or agreed to in a settlement approved by us. If an Infringement Claim is made or is likely, we may, at our option and expense: (a) obtain a license for you to continue using the Platform; (b) modify the Platform to make it non-infringing; or (c) if neither (a) nor (b) is commercially reasonable, terminate your access and refund any prepaid Fees for the unused portion of the Term.
We have no obligation for any Infringement Claim arising from: (i) your use of the Platform in violation of this Agreement; (ii) modification of the Platform by anyone other than us; (iii) combination of the Platform with third-party products or services not provided or authorized by us; or (iv) your continued use of a version of the Platform after we have made a non-infringing alternative available.
13.2 Subscriber Indemnification
You will defend, indemnify, and hold harmless Caletan and its officers, directors, employees, and agents from and against any third-party claim, and any resulting damages, losses, costs, and expenses (including reasonable legal fees), arising from or related to: (a) your Subscriber Data; (b) your breach of this Agreement, including any violation of the License Restrictions or the Acceptable Use Policy; (c) your infringement or misappropriation of any third party's rights; (d) any dispute between you and an End User; or (e) your failure to comply with applicable laws, including those related to children's data.
13.3 Indemnification Procedure
The indemnified party must: (a) promptly notify the indemnifying party in writing of the claim; (b) grant the indemnifying party sole control of the defense and settlement; and (c) provide reasonable cooperation at the indemnifying party's expense. The indemnified party's failure to promptly notify will not relieve the indemnifying party of its obligations except to the extent it is materially prejudiced by the delay.
14. Limitation of Liability
14.1 Exclusion of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14.2 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT WILL NOT EXCEED THE TOTAL FEES PAID BY THE SUBSCRIBER TO CALETAN DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE DATE OF THE FIRST EVENT GIVING RISE TO THE CLAIM.
14.3 Claim Limitation Period
Any claim arising out of or related to this Agreement must be brought within one (1) year after the date the claiming party first knew or reasonably should have known of the claim. Any claim not brought within this period is permanently barred. For residents of the Province of Quebec: This limitation period is subject to the prescriptive periods established by the Civil Code of Quebec.
14.4 Quebec Carve-Out
For residents of the Province of Quebec: The limitation of liability in this Section 14 will not apply to damages resulting from our intentional or gross fault, or that of our representatives, to the extent prohibited by Quebec law.
14.5 Essential Purpose
The limitations in this Section 14 apply even if any limited remedy fails of its essential purpose. Each party acknowledges that the other party has entered into this Agreement in reliance upon these limitations, which represent a reasonable allocation of risk and form an essential basis of the bargain.
15. Warranty Disclaimer
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ANY WARRANTY ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OR DATA AVAILABLE THROUGH THE PLATFORM.
For residents of the Province of Quebec: This disclaimer does not affect our obligations under Quebec's statutory warranty provisions under the Consumer Protection Act (Quebec).
16. Force Majeure
Neither party will be liable for any delay or failure in performance caused by events beyond its reasonable control, including natural disasters, pandemics, epidemics, acts of war or terrorism, government actions or orders, labor disputes, power or telecommunications failures, internet service disruptions, failures of third-party cloud infrastructure providers, fire, flood, earthquake, or other acts of God (each, a "Force Majeure Event"). The affected party must provide prompt notice to the other party and use reasonable efforts to mitigate the impact of the Force Majeure Event. If a Force Majeure Event continues for more than 60 consecutive days, either party may terminate this Agreement upon written notice.
17. Dispute Resolution
17.1 Informal Negotiation
Before initiating formal dispute resolution, the party asserting a dispute must provide written notice to the other party describing the facts, circumstances, and requested relief. The parties will attempt in good faith to resolve the dispute within 30 days of such notice (the "Negotiation Period"). Dispute notices to Caletan should be sent to: [email protected] or Reservita Inc., 609-400 Albert Street, Ottawa, Ontario, K1R 0G6, Canada. We will send dispute notices to the email address associated with your Account.
17.2 Binding Arbitration
If the parties are unable to resolve a dispute during the Negotiation Period, the dispute will be resolved by binding arbitration as follows:
(a) For Subscribers in Canada: Arbitration will be conducted in English (or French for Quebec residents who so elect) by a single arbitrator under the rules of the ADR Institute of Canada ("ADRIC"). The seat of arbitration will be Toronto, Ontario.
(b) For Subscribers in the United States: Arbitration will be conducted in English by a single arbitrator under the Commercial Arbitration Rules of the American Arbitration Association ("AAA"). The seat of arbitration will be Toronto, Ontario, unless the parties mutually agree to another location.
(c) For all Subscribers: The arbitrator will be mutually agreed upon by the parties. If the parties cannot agree within 15 days, the arbitrator will be appointed by the applicable arbitration body. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. Each party will bear its own costs, and the parties will share the arbitrator's fees equally.
17.3 Class Action Waiver
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND CALETAN AGREE THAT ANY DISPUTE WILL BE RESOLVED SOLELY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, COLLECTIVE ACTION, REPRESENTATIVE ACTION, OR ANY OTHER FORM OF CONSOLIDATED OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY CLASS OR REPRESENTATIVE PROCEEDING.
17.4 Opt-Out
You may opt out of binding arbitration within 30 days of first accepting these Terms by sending written notice to [email protected]. The notice must include your full name, Account email address, mailing address, and a clear statement that you wish to opt out of binding arbitration. If you opt out, disputes will be resolved in accordance with Section 18.
17.5 Exceptions
Notwithstanding the above, either party may: (a) seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or Confidential Information; (b) bring a claim in small claims court if the claim qualifies; or (c) bring an action to enforce payment of Fees owed under this Agreement.
18. Governing Law and Jurisdiction
18.1 General
This Agreement will be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Subject to Section 17, any legal proceedings that are not subject to arbitration will be brought exclusively in the courts of Ontario, and the parties consent to the personal jurisdiction of such courts.
18.2 Quebec Carve-Out
For residents of the Province of Quebec: This Agreement will be governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Legal proceedings may be brought in the competent court where you reside. Claims may be filed in accordance with Quebec's prescriptive periods. Modifications to these Terms are governed by Section 20.
18.3 Exclusions
The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act do not apply to this Agreement.
19. CASL Compliance
19.1 Transactional Messages
We may send you transactional and service-related messages (such as billing confirmations, security alerts, and account notifications) without your prior consent, as these messages are exempt from CASL requirements.
19.2 Marketing Messages
We will only send you commercial electronic messages (as defined by CASL) for marketing purposes if we have obtained your express consent. You may withdraw your consent at any time by using the unsubscribe mechanism provided in each message.
19.3 Subscriber Obligations
You are solely responsible for your own compliance with CASL, the CAN-SPAM Act, and any other applicable anti-spam laws when sending commercial electronic messages to End Users or other recipients through or in connection with the Platform. This includes obtaining any required express or implied consent and providing a functioning unsubscribe mechanism.
20. Modifications to Terms
20.1 Right to Modify
We may modify these Terms from time to time to reflect changes in the Platform, our business practices, legal requirements, or other factors.
20.2 Notice of Changes
For material changes, we will: (a) notify you by email at the email address associated with your Account at least 30 days before the changes take effect; and (b) post a prominent notice on the Platform. We will update the "Last Updated" date at the top of these Terms. Non-material changes (such as correcting typographical errors or reformatting) may take effect immediately upon posting.
20.3 Acceptance
Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Platform and cancel your subscription before the changes take effect.
21. Mobile Application
If you access the Platform through a mobile application, your use is also subject to our Mobile App EULA, which is incorporated into this Agreement by reference. The Mobile App EULA includes additional terms required by Apple, Google, and other app store providers. In the event of a conflict between the Mobile App EULA and these Terms, these Terms will govern to the extent of the conflict (except where app store terms require otherwise).
22. General Provisions
22.1 Assignment
You may not assign or transfer this Agreement, in whole or in part, without our prior written consent. We may assign this Agreement in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets without your consent. Any attempted assignment in violation of this Section is void. Subject to the foregoing, this Agreement binds and inures to the benefit of the parties' successors and permitted assigns.
22.2 Severability
If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable, while preserving the parties' original intent.
22.3 Entire Agreement
This Agreement, including all documents incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, communications, and understandings, whether written or oral.
22.4 No Waiver
The failure of either party to enforce any provision of this Agreement will not constitute a waiver of that provision or any other provision. No waiver will be effective unless made in writing and signed by the waiving party.
22.5 Electronic Communications
You consent to receiving communications from us electronically, including by email and through notices posted on the Platform. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
22.6 Notices
All notices under this Agreement must be in writing. Notices to Caletan should be sent to [email protected] or by mail to: Reservita Inc., 609-400 Albert Street, Ottawa, Ontario, K1R 0G6, Canada. We will send notices to you at the email address associated with your Account. Email notices are deemed received on the date sent. Mailed notices are deemed received three business days after mailing.
22.7 Independent Contractors
The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency, franchise, or employment relationship between the parties.
22.8 No Third-Party Beneficiaries
This Agreement does not confer any rights or remedies on any third party, except as expressly set forth herein.
22.9 Headings
Section headings are for convenience only and have no legal or contractual effect.
